MERGER. This form is used by foreign corporations or cooperatives to report a merger to the Minnesota Secretary of State. By submitting this form, the corporation certifies that the merger has been properly filed and recorded in its home jurisdiction. The form asks whether the submitting corporation is the surviving entity in the merger or not. If the corporation is the survivor, it must list the business names and home jurisdictions of the entities merging with it. If it is not the survivor, the name and home jurisdiction of the surviving corporation must be provided. The form also requires disclosure of any corporate name changes resulting from the merger.
